1. Acceptance and Authority
These Terms of Service govern access to and use of DYNIK websites, applications, APIs, and related services operated by DYNIK Inc. By creating an account, clicking to accept, purchasing a plan, or using DYNIK, you agree to these Terms.
If you use DYNIK for an employer, company, school, agency, or other organization, you represent that you are authorized to bind that organization. In that case, the words you and your include both you and that organization.
If you do not agree to these Terms, do not access or use DYNIK.
2. Services and Availability
DYNIK provides a career and hiring platform for job seekers and employers. Features may include resume analysis, profile and resume tools, job ranking, application tracking, employer job posting, applicant review, billing, and related account workflows.
Advanced employer workflows are not all generally available. Background checks, e-signature, offers, sponsorship, and video screening are limited availability unless an employer is allowlisted. AI recruiter and job distribution workflows are beta unless we publish otherwise.
We may modify, suspend, gate, discontinue, or replace any feature at any time. Beta and limited-availability features may be incomplete, may change without notice, and may be subject to additional terms, onboarding, provider approval, or configuration.
3. Accounts and Security
You must provide accurate account information and keep it current. You are responsible for safeguarding credentials, using reasonable security measures, and promptly notifying us of unauthorized access.
- You may not share accounts or allow unauthorized users to access paid or employer features.
- You must be at least 16 years old to use DYNIK. If a higher age of consent applies where you live, you must meet that requirement.
- We may require email verification, multi-factor authentication, payment verification, employer verification, or other checks before enabling certain features.
- We may suspend or restrict an account to protect users, the platform, payment systems, or third-party providers.
4. User Content and Data License
You retain ownership of resumes, profiles, job postings, application materials, messages, interview content, assessment responses, feedback, files, and other content you submit to DYNIK.
You grant DYNIK a non-exclusive, worldwide, royalty-free license to host, copy, process, transmit, display, analyze, and create derivative operational outputs from your content only as needed to provide, secure, support, improve, and measure the Services; comply with law; enforce these Terms; and create aggregated or de-identified analytics.
- You represent that you have the rights, permissions, and notices required to submit your content.
- You are responsible for the accuracy, legality, and completeness of your content.
- You may not submit malware, confidential third-party information without authorization, false credentials, illegal job postings, or discriminatory hiring criteria.
- We do not claim ownership of your content and do not sell resumes or applicant materials.
5. AI-Assisted Features
- You are responsible for reviewing, editing, and validating AI-generated output before relying on it.
- DYNIK does not guarantee employment, interviews, candidate quality, hiring outcomes, ranking accuracy, legal compliance, or business results.
- Employers must use human review for hiring, rejection, screening, background-check, assessment, compensation, sponsorship, and offer decisions.
- Employers are responsible for compliance with employment, labor, anti-discrimination, accessibility, notice, consent, recordkeeping, and AI-governance laws that apply to their use of DYNIK.
- DYNIK does not use personal data to train third-party foundation models unless we provide notice and obtain any required consent, as described in the Privacy Policy.
6. Jobs, Applications, and Employers
DYNIK is not an employer, recruiter of record, staffing agency, background-check company, law firm, immigration advisor, payroll provider, or guarantor of any job, candidate, offer, credential, employment eligibility, application response, or compensation.
- Job seekers are responsible for verifying job opportunities, employer communications, compensation, duties, and any external application process.
- Employers are responsible for job postings, hiring criteria, candidate communications, employment decisions, required notices, interview practices, and use of applicant data.
- We may remove listings, messages, or accounts that appear fraudulent, discriminatory, unsafe, illegal, spam-like, or inconsistent with these Terms.
- External job boards, applicant tracking systems, payment processors, background-check vendors, e-sign providers, and other integrations are controlled by their own operators and terms.
7. Employer and Business Obligations
Employers and business users must use DYNIK lawfully and fairly. You remain responsible for your hiring process and for independent legal review of any employment workflow.
- Post only legitimate roles with accurate company, location, compensation, sponsorship, and role information where disclosure is required or appropriate.
- Use candidate data only for lawful recruiting and hiring purposes and protect it with reasonable safeguards.
- Obtain all candidate consents, authorizations, disclosures, and notices required for assessments, recordings, background checks, e-signature, messaging, and automated tools.
- Comply with the Fair Credit Reporting Act and state equivalents when using consumer-report or background-check workflows.
- Provide legally required accommodations, avoid discriminatory criteria, and maintain required employment records.
- Do not use limited-availability provider workflows outside an approved pilot, allowlist, or separately agreed scope.
8. Billing, Subscriptions, and Cancellation
Paid plans, add-ons, usage charges, employer credits, taxes, discounts, trials, and renewal intervals are shown at checkout, in the account, in an order form, or in a separate written agreement. Stripe or another payment processor may handle payment details; DYNIK does not store full card numbers.
- By starting a paid subscription, you authorize recurring charges at the disclosed price, frequency, and tax amount until cancelled or changed according to these Terms.
- Subscriptions renew automatically unless cancelled before the renewal date. Cancellation takes effect at the end of the then-current billing period unless law or a written agreement requires a different result.
- You can cancel through account billing settings, the Stripe billing portal when available, or by contacting billing@dynik.com. We may require reasonable account verification before acting on a cancellation request.
- Fees are non-refundable except where required by law, expressly stated at checkout, or agreed in a signed order form. We may provide credits or refunds at our discretion without creating an obligation to do so.
- You are responsible for taxes, failed-payment fees charged by payment providers, chargebacks caused by your payment method, and keeping billing information current.
- If payment fails or a chargeback occurs, we may retry payment, suspend paid features, downgrade access, cancel the plan, or collect amounts owed.
9. Acceptable Use
You may not misuse DYNIK or help others misuse it.
- Do not violate law, infringe rights, discriminate, harass, threaten, defraud, or impersonate others.
- Do not scrape, crawl, harvest, sell, rent, or redistribute platform data without written permission.
- Do not bypass access controls, rate limits, billing controls, security features, feature gates, or provider restrictions.
- Do not probe, scan, attack, reverse engineer, disrupt, overload, or attempt unauthorized access to DYNIK or connected services.
- Do not upload malware, exploit code, secrets, regulated data you are not authorized to process, or content that violates third-party rights.
- Do not use DYNIK to send spam, phishing, unlawful outreach, or unsolicited commercial messages.
10. DYNIK Intellectual Property
DYNIK and its software, designs, workflows, algorithms, models, interfaces, documentation, trademarks, logos, and other platform materials are owned by DYNIK or its licensors and are protected by intellectual-property and other laws.
- You receive a limited, revocable, non-transferable right to use DYNIK only as allowed by these Terms.
- You may not copy, modify, create derivative works from, sell, sublicense, or commercially exploit DYNIK except as expressly permitted.
- If you provide feedback, ideas, or suggestions, DYNIK may use them without restriction, attribution, or compensation.
11. Third-Party Services
DYNIK may connect with third-party services such as cloud hosting, AI processing, analytics, payment processors, job boards, applicant tracking systems, communication tools, background-check providers, e-signature providers, and identity or anti-abuse providers.
Third-party services are governed by their own terms and privacy practices. DYNIK is not responsible for third-party products, availability, acts, omissions, data, fees, or content except to the extent required by law or a written agreement signed by DYNIK.
12. Privacy and Security
Our Privacy Policy explains how we collect, use, disclose, retain, and protect personal information. You must use DYNIK in a way that complies with privacy, data-protection, employment, and communications laws that apply to you.
We use administrative, technical, and organizational safeguards designed to protect the Services, but no system is perfectly secure. You are responsible for using strong credentials, restricting access to authorized users, and promptly reporting suspected compromise.
13. Suspension and Termination
You may stop using DYNIK at any time. You may request account deletion or data export as described in the Privacy Policy and account settings.
We may suspend, restrict, or terminate access if we reasonably believe you violated these Terms, created legal or security risk, failed to pay, misused data, caused provider issues, or if continued access could harm DYNIK, users, providers, or the public.
Terms that by their nature should survive termination will survive, including payment obligations, confidentiality and data-use restrictions, disclaimers, limitations of liability, indemnities, dispute terms, and intellectual-property provisions.
14. Disclaimers
- We do not warrant that DYNIK will produce accurate, complete, fair, lawful, or useful outputs in every case.
- We do not guarantee employment, interviews, hires, qualified candidates, application responses, revenue, cost savings, regulatory compliance, or specific business results.
- Career, hiring, legal, tax, immigration, background-check, compensation, and compliance decisions should not be based solely on DYNIK outputs.
15. Limitation of Liability
To the maximum extent permitted by law, DYNIK and its affiliates, officers, directors, employees, agents, licensors, and providers will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages; lost profits; lost revenue; lost goodwill; loss of data; business interruption; hiring outcomes; employment decisions; or third-party acts or omissions.
To the maximum extent permitted by law, DYNIK total aggregate liability for all claims relating to the Services will not exceed the greater of the amount you paid to DYNIK for the Services giving rise to the claim during the 12 months before the event giving rise to liability or 100 USD.
Some jurisdictions do not allow certain exclusions or limitations. In those jurisdictions, the limitations apply to the fullest extent permitted by law.
16. Indemnification
You will defend, indemnify, and hold harmless DYNIK and its affiliates, officers, directors, employees, agents, licensors, and providers from claims, losses, liabilities, damages, penalties, settlements, costs, and expenses, including reasonable attorneys fees, arising from or related to:
- Your content, job postings, candidate communications, applications, or hiring decisions.
- Your use or misuse of DYNIK, including beta or limited-availability features.
- Your violation of these Terms, law, or third-party rights.
- Your failure to obtain required notices, consents, authorizations, or approvals.
- Your employment, labor, privacy, background-check, communications, accessibility, tax, immigration, or data-protection obligations.
17. Governing Law and Disputes
These Terms are governed by Delaware law, excluding conflict-of-law rules, unless applicable consumer law requires otherwise.
- Before filing a claim, you agree to contact legal@dynik.com and give us 60 days to attempt to resolve the dispute informally.
- Unless prohibited by law, disputes that cannot be resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association under its applicable rules. Arbitration may be conducted remotely unless the arbitrator requires otherwise.
- You and DYNIK waive the right to a jury trial and agree to bring claims only in an individual capacity, not as a class, collective, consolidated, private-attorney-general, or representative action.
- Either party may bring qualifying claims in small-claims court or seek injunctive relief for actual or threatened misuse of intellectual property, confidential information, security systems, or data.
- You may opt out of arbitration by emailing legal@dynik.com within 30 days after first accepting these Terms and stating your name, account email, and intent to opt out.
18. Changes to These Terms
We may update these Terms from time to time. We will post the updated Terms with a new last-updated date. For material changes, we will provide reasonable notice when required by law or when the change materially reduces your rights.
Continued use of DYNIK after updated Terms take effect means you accept the updated Terms. If you do not agree, you must stop using DYNIK and cancel any subscription before the next renewal.
